These Terms of Service ("Terms") govern your access to and use of GridMind (the "Service"), provided by Punchline, Maximilian Kreuz ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using GridMind, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Eligibility

You must be at least 16 years old to use GridMind. By using the Service, you represent and warrant that:

• You are at least 16 years of age
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations
• All information you provide is accurate and current

3. Account Registration and Security

3.1 Account Creation

To use certain features of GridMind, you must create an account. You agree to:

• Provide accurate, complete, and current information
• Maintain and update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

4. Use of the Service

4.1 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use GridMind for your personal or internal business purposes.

4.2 Prohibited Activities

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Collect or harvest data from other users
• Reverse engineer, decompile, or disassemble the Service
• Use automated systems (bots, scrapers) without permission
• Interfere with or disrupt the Service or servers
• Use the Service for any illegal or unauthorized purpose

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of all content you create, upload, or share through GridMind ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and process your content solely to provide and improve the Service.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any third-party rights
• Your User Content complies with these Terms and applicable laws

5.2 Our Content

The Service, including its design, features, text, graphics, logos, and software, is owned by Punchline and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

6. Subscriptions and Payment

6.1 Free Trial

We may offer a 14-day free trial for new users. No credit card is required during the trial. After the trial period, you may choose to subscribe to a paid plan.

6.2 Paid Subscriptions

If you subscribe to a paid plan:

• You authorize us to charge your payment method on a recurring basis
• Subscriptions auto-renew unless canceled before the renewal date
• We may change prices with 30 days' notice
• All fees are non-refundable except as required by law

6.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of that period.

7. Third-Party Services

GridMind may integrate with third-party services (e.g., Instagram, analytics providers). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services or content.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of content

We do not guarantee that the Service will meet your requirements or that defects will be corrected. Your use of the Service is at your own risk.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PUNCHLINE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or goodwill
• Service interruption or system failures
• Cost of substitute services
• Any damages arising from your use or inability to use the Service

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Punchline, its affiliates, and their respective officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

12. Termination

We may suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Extended periods of inactivity

Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content. Sections that by their nature should survive termination will remain in effect.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Germany. Any disputes shall be subject to the exclusive jurisdiction of the courts in Munich, Germany.

13.2 Informal Resolution

Before filing a claim, you agree to contact us at info@punchlinedesign.com to attempt to resolve the dispute informally.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Punchline regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
